Introduction and Acceptance
These Terms and Conditions govern your use of the TechlyAgent website at techlyagent.com and your engagement with TechlyAgent’s services. TechlyAgent is a digital agency based in Karachi, Pakistan providing web development, SEO, paid advertising, social media management, email marketing, page speed optimisation, and business automation services.
By accessing our website, submitting an enquiry, or entering into a service agreement with TechlyAgent, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree to these terms, please do not use our website or engage our services.
These terms are governed by the laws of Pakistan. Any disputes arising from these terms or from your use of our services will be subject to the jurisdiction of the courts of Karachi, Pakistan.

Project
Refers to a specific scoped body of work agreed between TechlyAgent and a client with defined deliverables and timeline.
Agreement
Refers to a written proposal, quote, or service agreement accepted by the client and TechlyAgent.
Deliverables
Refers to outputs produced by TechlyAgent such as websites, reports, campaigns, or automation systems.
Intellectual Property
Refers to all creative works, code, designs, content, strategies, and other outputs created during service delivery.
Services
Scope of Services
The services, deliverables, timeline, and cost are defined in a written agreement before work begins. Any work outside the agreed scope requires written approval.
Service Variations
TechlyAgent may modify or discontinue services at any time. Existing agreements remain unaffected unless agreed in writing.
Third-Party Services
Services may rely on third-party platforms such as Google, Meta, WordPress, WooCommerce, n8n, Make.com, Zapier, and email tools. TechlyAgent is not responsible for their performance or availability.
Digital Advertising Platforms
Advertising services depend on platforms like Google Ads and Meta Ads. TechlyAgent is not responsible for account bans, policy changes, cost fluctuations, or algorithm changes.
Proposals, Quotes and Agreements
Validity of Proposals
All proposals remain valid for 14 days unless stated otherwise.
Agreement to Proceed
Work begins only after written approval and initial payment. Verbal agreements are not binding.
Scope Changes
Any changes to scope may affect cost and timeline and must be approved in writing.
Client Responsibilities
Provision of Required Materials
Clients must provide all required content, assets, and access. Delays may affect timelines.
Accuracy of Information
Clients are responsible for ensuring all provided information is accurate and complete.
Review and Approval
Clients must review deliverables and provide timely consolidated feedback.
Legal Compliance
Clients are responsible for ensuring all materials comply with applicable laws.
Account Access and Credentials
Clients must ensure they are authorised to provide access to systems or accounts.
Payment Terms
Payment Structure
Standard payment is 50% upfront and 50% on completion unless otherwise agreed.
Monthly Retainers
Monthly services are billed in advance.
Payment Methods
Payments are accepted via bank transfer, JazzCash, EasyPaisa, or cash (Karachi only). All payments are in PKR unless agreed otherwise.
Late Payment
Work may be paused if payment is overdue. Delays beyond 14 days may result in suspension of services.
No Refund Policy
Payments are non-refundable once work has commenced.
Expenses
Third-party costs are billed separately unless included in the agreement.
Revisions and Changes
Included Revisions
Projects include a defined number of revision rounds as stated in the agreement.
Additional Revisions
Extra revisions are billed at an additional hourly rate.
What Constitutes a Revision
Revisions apply only within the original scope. New features or changes are treated as new work.
Intellectual Property and Ownership
Client Ownership Upon Final Payment
Full ownership transfers to the client after full payment is received.
TechlyAgent Retained Rights
TechlyAgent may showcase completed work in its portfolio unless confidentiality is requested.
Third-Party Components
Third-party assets remain under their original licences.
Client-Provided Materials
Clients retain ownership of materials they provide.
Licence During Project
Clients receive a limited licence for review purposes until final payment.
Confidentiality
Mutual Confidentiality
Both parties agree to keep shared information confidential.
Confidential Information
Includes business, financial, technical, and strategic data.
Exceptions
Does not apply to public, pre-known, or legally required disclosures.
Project Timeline and Delivery
Estimated Timelines
Timelines are estimates and depend on client cooperation and external factors.
Client-Caused Delays
Client delays may extend project timelines.
Force Majeure
TechlyAgent is not responsible for delays caused by events outside reasonable control.
SEO and Digital Marketing Terms
No Guarantee of Results
No guarantees of rankings, traffic, leads, or ROI.
Algorithm Changes
Performance may change due to external platform updates.
Client Cooperation
Results depend on client cooperation and implementation of recommendations.
Business Automation Terms
Testing and Accuracy
Automations are tested but not guaranteed error-free due to third-party dependencies.
Data Handling
Clients are responsible for legal compliance of data usage.
Third-Party Tools
TechlyAgent is not responsible for failures caused by third-party tools or APIs.
Limitation of Liability
Liability Limitation
Liability is limited to fees paid in the last 3 months.
Exclusion of Damages
No liability for indirect or consequential damages.
Website Availability
No guarantee of uninterrupted website access.
Termination
Termination by Either Party
Either party may terminate with 30 days written notice.
Termination for Cause
Immediate termination may occur due to breach, non-payment, or misconduct.
Effect of Termination
Client must pay for all completed work up to termination date.

Website must be used legally and responsibly.
No Unauthorised Access
Unauthorised access to systems is prohibited.
Accuracy of Information

Governing Law and Disputes
Governing Law
Governed by laws of Pakistan.
Dispute Resolution
Disputes will first be resolved through negotiation, then courts of Karachi if necessary.
General Provisions
Entire Agreement
This document and project agreements form the full contract.
